Bain Capital Portfolio Co. Rapid7 Raises Half of $4M Offering - CBL

BOSTON -- According to a Reg D filing with the U.S. Securities and Exchange Commission, Rapid7 LLC, a portfolio company of Boston-based Bain Capital, has raised half of its $4 million equity offering from eight investors.

Also based in Boston, Rapid7 is a provider of information-technology vulnerability management, compliance solutions and penetration testing.

Principals named in the filing are President and CEO Michael Tuchen; CFO Timothy O'Toole; and directors Alan Matthews (chairman) and John Devine, both co-founders of Rapid7, and Benjamin Holzman and J. Benjamin Nye, both of Bain.

Michael Tuchen - President and CEO

Mike joined Rapid7 in 2008 to lead its next phase of growth as the company expands its marketing, sales channels and product development. Prior to joining the company, he was the general manager of Microsoft's SQL Server marketing team, leading worldwide strategic planning and revenue-generating efforts, including product marketing, field programs, product planning and partner strategy. Mike has had two stints totaling nine years at Microsoft in an expanding range of product development and marketing roles. Mike holds a Bachelor of Science in Electrical Engineering from Brown University (magna cum laude), a Master of Science in Electrical Engineering from Stanford University, and a Masters of Business Administration from Harvard Business School (Baker Scholar).

Timothy O'Toole - CFO

Tim joined Rapid7 as CFO in September 2008 to manage all aspects of finance and human resources. Previously, Tim was the CFO at Mzinga, the leading provider of business social media and learning solutions. From 2004 to 2007, Tim was Vice President of Finance for Bladelogic (acquired by BMC Software in 2008). While in that role, he was instrumental in increasing revenue sources, establishing eight foreign subsidiaries and completing the Bladelogic initial public offering, raising $98 million. Tim holds a Bachelor of Science in Accounting from Bentley University and is a Certified Public Accountant in the Commonwealth of Massachusetts.

Alan Matthews - Co-Founder and Chairman

Alan Matthews and partner John Devine, with whom he launched many other successful start-ups, founded Rapid7 to address the need he saw in the market for network security. Prior to his business partnerships with Devine, Alan was a consultant to the investment banking group at Merrill Lynch, developed mortgage-backed securities software at First Boston, coordinated and operated computer graphics lab at HBO/Time Warner, and in the late 1970s served as a programmer and designer for the VM operating system at IBM.

Benjamin Holzman

Ben joined Bain Capital in 2007. Prior to joining Bain Capital, Ben was Vice President of Sales Operations from Iron Mountain, the global leader in information protection and storage services. At Iron Mountain, Ben had responsibility for sales strategy, compensation and the sales-oriented CRM and business intelligence systems. Prior to Iron Mountain, Ben was a venture investor with Fidelity Ventures, where he focused on systems and storage management firms. Earlier in his career, Ben was a consultant at McKinsey and Company, where he advised a wide variety of firms on strategic, operational and organizational issues. Mr. Holzman received his BSE magna cum laude in Biomedical and Electrical Engineering from Duke University and his MBA from the MIT Sloan School of Management.

John Devine - Co-Founder

John has extensive operations and sales expertise. He oversees Rapid7's sales endeavors, a core area of operations he directed at Percussion, Bond Technologies, and Stride & Associates. Mr. Devine is the architect of Rapid7's direct sales desk structure, a team-oriented hierarchy that produces results. Prior to his recent experiences, Devine spent almost 10 years in IT job placement.

J. Benjamin Nye

Ben joined Bain Capital Ventures in 2004. Prior to joining Bain Capital Ventures, Mr. Nye was a SVP at Veritas Software. Prior to Veritas, he was COO and CFO of Precise Software Solutions, where he helped build Precise from a $10MM revenue private company to a $100MM revenue public company prior to its sale to Veritas for $600MM. Earlier in his career Mr. Nye was a Principal at Allied Capital, a public investment company, and he also worked in the U.S. Treasury Department for Treasury Secretaries Lloyd Bentsen and Robert Rubin, and as a consultant for Mercer Management Consulting. Mr. Nye attended Harvard College and Harvard Business School, where he graduated with honors.
