EnerNOC Completes $2.5M Offering - cbl

BOSTON -- EnerNOC Inc. (Nasdaq: ENOC) has completed a $2.5 million share offering, raising the amount from seven investors, to partly to fund its acquisition of Australia's Energy Response Holdings Pty. Ltd.

The Boston-based provider of efficient energy management services bought Energy Response, a similar provider in Australia and New Zealand, for $26.14 million, mostly in cash and $2.34 million in stock.

Principals named in a recent filing are:

- Co-founder, Chairman and CEO Timothy Healy;
- Co-founder and President David Brewster;
- Executive Vice President David Samuels;
- CFO and Treasurer Timothy Weller;
- Senior Vice President of Marketing and Sales Gregg Dixon;
- Chief Accounting Officer Kevin Bligh;
- Director Arthur W. Coviello, executive vice president at EMC Corp. (NYSE: EMC) and president of its RSA division;
- Director Richard Dieter;
- Director T. J. Glauthier, president of TJG Associates LLC; and
- Director Susan Tierney, managing principal, Analysis Group.

EnerNOC, which also has operations in the United Kingdom and Canada, helps commercial, institutional and industrial organizations use energy more intelligently and generate cash flow that benefits the bottom line. It also serves utilities and grid operators.

Timothy Healy
Founder, Chairman and CEO


As CEO, Chairman, and Co-Founder of EnerNOC, Tim has guided the company's strategic course since its inception in 2001. Under Tim's leadership, EnerNOC has experienced exponential growth in size, capacity, and revenue. EnerNOC also expanded into new markets across the United States and diversified its solutions portfolio from demand response to other energy management solutions including energy efficiency and energy procurement services. In 2007, he led EnerNOC's initial public offering, which was named IPO of the Year by the Association for Corporate Growth Boston and Mass High Tech magazine, and received the Ernst & Young Entrepreneur of the Year Award in New England. Today, EnerNOC is a premier full-service energy management provider with unparalleled performance and services.

Prior to EnerNOC, Tim worked in the Energy Technology Laboratory for Northern Power Systems, Inc., a firm that has integrated over 800 distributed power systems and related equipment for customers throughout the world. Tim also held positions with Merrill Lynch, International Fuel Cells (now UTC Fuel Cells), and Commonwealth Capital Ventures, an early stage technology venture capital firm in Wellesley, MA, and co-founded Student Advantage, which went public in 1999.

Tim currently sits on the Board of Directors for the Massachusetts High Technology Council and the New England Clean Energy Council, as well as serves on TechNet Executive Committee and the Board of Trustees for the New England Aquarium.

Tim graduated from Dartmouth College with a Bachelor of Arts in Government and Economics and received his Master of Business Administration from the Tuck School of Business at Dartmouth.

David Brewster
President and Co-Founder


As President and Co-Founder of EnerNOC, David has guided the company's execution since its inception in 2001. With a primary focus on market development, inclusive of regulatory and government affairs, utility solutions, and international development, David has taken an active role in helping to shape domestic and international demand-side markets. David has pioneered efforts to make customer participation in these markets more effective through improved market rules and technologies. He regularly represents EnerNOC at public utility commissions and the Federal Energy Regulatory Commission, among other forums.

Prior to EnerNOC, David worked at Beacon Power Corporation (NASDAQ: BCON), a developer of flywheel-based energy storage solutions for grid-scale frequency regulation services and other applications. David also held positions at Winslow Management Company, an environmentally-focused investment management firm, and SolarBank, an innovative global capital fund for solar energy systems.

David currently serves on the boards of EnergyHub and Duke University's Nicholas School of the Environment. He holds a Bachelor of Arts with High Honors from Wesleyan University, a Master of Environmental Management from Duke University, and a Master of Business Administration from the Tuck School of Business at Dartmouth.

David Samuels
Executive Vice President


As Executive Vice President and Corporate Secretary, David leads EnerNOC's strategic corporate development function including mergers and acquisitions. David also serves as EnerNOC's General Counsel and Corporate Secretary and oversees human resources.

David brings over twenty years of entrepreneurial, operating, and senior management experience to EnerNOC at both private and public companies. Most recently, David was Executive Vice President of Guardent, a company he co-founded in 2000. In 2002, he was honored as Ernst & Young's New England Entrepreneur of the Year, and two years later, Guardent was acquired by VeriSign (NASDAQ: VRSN) for over $140 million. Prior to co-founding Guardent, he served as Senior Vice President of Business Affairs at i-Cube (Massachusetts IPO of the Year 1998) and played a key role in its $1.8 billion merger with Razorfish. David began his legal career as an attorney at Testa, Hurwitz, and Thibeault.

David received a Bachelor of Arts in Economics from Brandeis University and a Juris Doctor from Northeastern University School of Law.

Timothy Weller
Chief Financial Officer and Treasurer


Tim is responsible for managing EnerNOC's operations related to finance, accounting, treasury and investor relations. Tim leverages his experience and track record as a successful CFO as well as front-line Wall Street experience to help EnerNOC continue to provide value for its customers and build on its market leadership position.

Tim served as the first Chief Financial Officer at Akamai Technologies, Inc. (NASDAQ: AKAM), a managed services company that powers rich media, dynamic transactions, and enterprise applications online. He was also the Telecommunication Services equity research analyst at the investment banking firm Donaldson, Lufkin & Jenrette (DLJ). Most recently, he has been an angel investor and advisor to many technology companies.

Tim has a Ph.D. in Electrical Engineering from the University of Illinois, and a B.S. and M.S. in Electrical Engineering from Michigan State University.

Gregg Dixon
Senior Vice President of Marketing and Sales


Gregg Dixon has led various sales, marketing, and business development efforts at EnerNOC and currently leads marketing and sales efforts worldwide to end-use customers. Gregg is primarily responsible for leading the formulation of EnerNOC's go-to-market strategy and product roadmap, the execution of marketing mechanisms that accelerate profitable sales growth and brand recognition through creative and customer-driven insights, and the development of a world-class sales organization.

Prior to joining EnerNOC, Gregg was Vice President of Marketing and Sales for Hess Microgen, the leading provider of commercial on-site co-generation systems and services in the United States. As a highly recognized expert in distributed generation, Gregg pioneered efforts to bring more than 100 co-generation systems to leading grocery, hospitality, commercial property, and manufacturing customers and developed Hess Microgen's Internet-based monitoring system, CONIFER. Gregg was also Partner at Mercer Management Consulting, where he advised global Fortune 1000 technology, consumer products, and energy clients on customer and product strategy, economic choice analysis, and new business model development.

Gregg graduated from Boston College with bachelor's degrees in Business Administration and Computer Science and he is a Certified Energy Manager, Certified Demand Side Management Professional, and Certified Sustainable Development Professional with the Association of Energy Engineers. Gregg was also voted one of Boston's "40 Under 40" by Boston Business Journal as recognition for having established himself as a leader to be watched in the field of energy.

Richard Dieter

Richard Dieter serves on the EnerNOC Board of Directors, is Chairman of the Audit Committee, and serves on the Compensation Committee. He is a retired Accounting and Audit Partner, Arthur Andersen; a former member of AICPA Auditing Standards Board; and the Former Chairman of the AICPA-SEC International Task Force. He received his M.S. from the University of Massachusetts, Amherst, and his B.S. from Boston University.

TJ Glauthier
President, TJG Associates, LLC


TJ Glauthier serves on the EnerNOC Board of Directors, is the Chairman the Company's Compensation Committee, and serves on both the Nominating and Governance and Audit Committees. Previously he has served as CEO and President of the Electricity Innovation Institute and as the Deputy Secretary and COO of the U.S. Department of Energy. He received his MBA from Harvard Business School and his B.A. from Claremont McKenna College.

Susan F. Tierney
Managing Principal, Analysis Group


Dr. Tierney serves on the EnerNOC Board of Directors, is the Chairman of the Company's Nominating and Governance Committee. She has served as a Managing Principal since July 2003 at Analysis Group in Boston, an economic, financial, and business strategy consulting group, where she specializes in economics, regulation, and policy in the electric and gas industries. Her background includes extensive experience in market analysis, transmission policy, energy facility siting, utility ratemaking, energy efficiency, renewables, and climate policy. Dr. Tierney previously served as Assistant Secretary for Policy at the U.S. Department of Energy, as well as Massachusetts Secretary of Environmental Affairs, Commissioner at the Massachusetts Department of Public Utilities, and executive director of the Massachusetts Energy Facilities Siting Council. In 2008-2009, Dr. Tierney co-chaired the DOE Agency Review Team for the Obama Presidential Transition Team. Currently, she serves on the board of directors of Evergreen Solar, Inc. and Ze-gen, Inc., as well as on the board of directors of the World Resources Institute, the Clean Air Task Force, and Clean Air - Cool Planet. Dr. Tierney also co-chairs the National Commission on Energy Policy, chairs the board of the Energy Foundation, and chairs the Advisory Council of the National Renewable Energy Laboratory.
